Introduction
This End User License Agreement (“Agreement” or “EULA”) is a binding contract between you and GAGE TECHNOLOGY, INC. (“GAGE,” “we,” “us,” or “our”). This Agreement governs your use of the GAGE mobile application, website, and all related software components (collectively, the “Application”). By downloading, installing, or using the Application, you agree to be bound by this Agreement.
License Grant
Subject to compliance with this EULA, GAGE grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Application on a device you own or control for personal, non-commercial use.
Restrictions
You may NOT:
Copy, reproduce, or distribute the Application.
Modify, adapt, translate, or create derivative works.
Reverse engineer, decompile, decrypt, or attempt to extract source code.
Sell, rent, lease, sublicense, or transfer the Application.
Use the Application for unlawful or harmful purposes.
Circumvent or disable security or digital rights management features.
Use automated scripts or tools to access the Application.
Ownership
The Application is licensed, not sold. GAGE TECHNOLOGY, INC. retains all rights, title, and interest in and to the Application, including all intellectual property rights. No rights are granted except those expressly stated.
Updates and Modifications
GAGE may provide updates, patches, enhancements, or new versions of the Application. Some updates may be required to continue using the Application. GAGE may modify or discontinue features at any time.
Third-Party Services
The Application may integrate third-party services (e.g., authentication, content moderation, analytics). Your use of such services is subject to their respective terms and privacy practices.
Termination
This license is effective until terminated. GAGE may terminate this Agreement at any time if you fail to comply with its terms. Upon termination, you must stop using the Application and delete all copies from your device.
Disclaimer of Warranties
The Application is provided “AS IS” and without warranties of any kind. GAGE does not guarantee uninterrupted or error-free operation, or that the Application will meet your requirements.
Limitation of Liability
To the fullest extent permitted by law, GAGE TECHNOLOGY, INC. is not liable for indirect, incidental, special, punitive, or consequential damages. Total liability will not exceed $100 USD or the amount you paid to use the Application in the previous 12 months.
Compliance with App Store Terms
If the Application was downloaded from an app store, you acknowledge that:
This Agreement is between you and GAGE TECHNOLOGY, INC.
The distributor of the GAGE app is not responsible for maintenance or support for the GAGE platform.
The distributor is not liable for any claims regarding the Application.
You must comply with the distributor's store Terms and Conditions.
App stores and distributor platforms have the right to enforce this Agreement as a third-party beneficiary.
Export Compliance
You agree not to use, export, or transfer the Application in violation of U.S. export laws or regulations.
Governing Law
The laws of the State of Delaware govern this Agreement. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
